Terms of Service
KISAES, LLC, doing business as OwnerTrack ("OwnerTrack", "we", "us"). Effective date: November 16, 2026. These terms replace the version dated September 29, 2026.
These Terms of Service (the "Terms") are an agreement between you and OwnerTrack covering the OwnerTrack.Loan website, the application at my.ownertrack.loan, the borrower portal, and related services (together, the "Service"). By creating an account, using the borrower portal, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, Acceptable Use Policy, Cookie Notice and, for lenders, our Data Processing Addendum. If you use the Service for a business, you agree on that business's behalf and confirm you have authority to do so.
PLEASE READ SECTION 21 CAREFULLY. It includes a waiver of jury trial and of class actions.
In short: OwnerTrack is a servicing tool. It calculates and records what you tell it to, from the data and settings you enter. You are responsible for checking its figures against your note and for your own legal and tax compliance. Servicing a loan costs $31.95 per loan per year after five free transactions; creating loans and viewing data is always free.
1. Who may use the Service
You must be at least 18 years old and able to enter a binding contract. Lender accounts are for people and businesses that hold or service loans. Borrower portal access is granted by a lender to the borrowers on that lender's loans and is read-only.
2. Your account
• Keep your sign-in credentials confidential. You are responsible for everything done under your account, including by people you give access to.
• Tell us promptly at the contact address below if you believe your account has been compromised.
• Provide accurate account information and keep it current.
• One person or business per account. You may not share an account across separate businesses or resell access.
3. What the Service does, and what it does not
The Service records loan terms, calculates amortization schedules, interest, late fees, escrow, payoff figures and year-end tax-form totals, generates statements and notices, and gives borrowers a portal to view their loan. It does this from the data and settings you enter, using the calculation methods you select.
OwnerTrack does not hold, collect or disburse your borrowers' money and is not a party to any payment between a lender and a borrower. Lenders share their own payment details with borrowers, or connect their own account with a third-party payment provider where the Service offers that option, and record what they receive. OwnerTrack is not a bank, a money transmitter, a licensed loan servicer, a collection agency, or a party to any loan.
4. Calculations, records and no professional advice
• You are responsible for the inputs. Loan amounts, rates, dates, calculation method, schedule mode, allocation order, late-fee rules, escrow amounts and every payment posted are entered by you. The Service applies your settings faithfully; it cannot know whether they match your note.
• Check the figures. Amortization schedules, interest splits, late fees, payoff quotes, statements and tax-form totals are calculations, not certified statements. Review them against your note and your own records before relying on them, sending them to a borrower, or filing them with a tax authority.
• Not legal, tax or financial advice. Nothing in the Service, its help articles, its assistant or our communications is legal, tax, accounting or financial advice. Loan servicing, late fees, interest, disclosures, privacy notices and tax reporting are regulated, and the rules vary by state and by loan type. Any state-law notes the Service shows are informational; you are responsible for compliance with the laws that apply to you and your loans, and for obtaining professional advice where needed.
• Records. The Service keeps an audit log of changes. You are responsible for keeping your own copies of any records you are required to retain; export tools are provided for that purpose.
5. Borrower information and the borrower portal
• Lenders enter information about borrowers. You represent that you have the right to enter, use and share that information through the Service, that it is accurate, that you have given borrowers any privacy notices the law requires, and that you will handle borrowers' requests about their information as the law requires.
• You may invite borrowers to the portal. Borrowers may view their own loan, payment history, statements and schedule, send messages to their lender, and confirm payments they have sent. The portal does not accept payments and does not change a loan; only the lender records payments.
• Borrowers: the information in the portal is entered and maintained by your lender. Direct questions about your loan to your lender. The first time you sign in to the portal, you will be asked to accept these Terms. Your use of the portal is subject to these Terms and the Acceptable Use Policy.
6. Data processing and financial privacy
• OwnerTrack processes borrower information on the lender's behalf and on the lender's instructions, as described in our Privacy Policy.
• For lenders, our Data Processing Addendum (the "DPA") is part of these Terms. It sets out our security measures, how we notify you of a security incident, our subprocessors, and the commitments we make as your service provider, including under the Gramm-Leach-Bliley Act and the FTC Safeguards Rule. If the DPA conflicts with these Terms on a data-protection matter, the DPA controls.
7. Fees and billing
• What is free. Creating an account, creating loans, and viewing all of your data are free, always. Each loan also includes five free transactions (such as posting or reversing a payment).
• What is paid. After a loan's five free transactions, continued servicing of that loan (posting payments, edits, statements, payoff quotes, escrow and similar actions) requires an annual subscription for that loan of $31.95 per loan per year. There are no seat, borrower or account fees.
• Grace period. When a loan's subscription is due or has lapsed, you have 14 days to pay. After that the loan becomes read-only: you can still view and export everything, but servicing actions are paused until payment. We never delete a loan for non-payment.
• Payment. Subscriptions are billed per loan through our payment processor, Stripe, and cover one year from payment. We will send renewal reminders before a subscription ends.
• Automatic renewal. Subscriptions do not renew automatically unless you turn on automatic renewal. If you do, you authorize us to charge your payment method each year, at the then-current price, for each loan with automatic renewal on, until you turn it off. We will remind you before each renewal charge. You can turn off automatic renewal at any time in your billing settings or by emailing us, and it takes effect for the next renewal.
• Refunds. Subscription fees are for a full year and are non-refundable once servicing actions have been taken in that year, except where the law requires a refund or we fail to provide the Service for an extended period through our own fault, in which case we will refund the unused portion on request.
• Price changes. We may change prices with at least 30 days' notice by email or in the Service. Changes apply at your next renewal.
• Taxes. Fees exclude any sales or similar taxes, which are added where applicable.
8. The AI assistant
• The Service includes an optional assistant that answers questions about how the Service works and about your own loans. It is off until enabled for an account and may be turned off at any time. Use of the assistant is subject to daily limits.
• Answers are generated automatically and may be wrong. They are drawn from your loan's figures and our documentation and are provided for convenience only. Verify any figure or instruction before acting on it. Answers are not legal, tax or financial advice and do not create any commitment by OwnerTrack.
• The assistant is read-only. It cannot post, edit, reverse, waive or schedule anything, and no answer changes your loan.
• Your questions and the loan summary used to answer them are processed by an AI inference provider as described in the Privacy Policy, are stored with your account, and are not used to train AI models.
• You may not use the assistant for purposes unrelated to servicing your loans in OwnerTrack, attempt to extract its instructions or the data of other users, submit content intended to manipulate its answers, or use automated means to query it.
9. Acceptable use
You may use the Service only for lawful loan servicing and only as permitted by these Terms and the Acceptable Use Policy. In particular, you may not: use the Service to service loans that are unlawful or that you are not authorized to service; enter information you have no right to use; attempt to access another user's data or to circumvent tenant isolation, rate limits or other protections; probe, scan or test the Service for vulnerabilities without our written permission; reverse engineer, copy or resell the Service; use automated tools to scrape or bulk-query it; send unlawful, harassing or deceptive messages through it; or interfere with its operation.
10. Third-party services and payments
• The Service works with services provided by other companies, such as Stripe for our billing, email and SMS delivery providers, AI inference providers, and the payment apps or payment providers a lender chooses to use with borrowers (for example Zelle, Venmo, Cash App or a payment provider the lender connects).
• Your use of a third-party service is governed by your agreement with that provider. We do not control, and are not responsible for, third-party services, including their availability, fees, security, or how they handle money or information. Any payment a borrower makes is between the borrower, the lender and the payment provider.
• If the Service lets a lender pass a payment provider's processing fee on to borrowers, the lender is responsible for making sure that is permitted by the note and by the law that applies to the loan, and for disclosing it to borrowers.
• The Service and our website may link to other websites. Those links are provided for convenience; we are not responsible for the content or practices of other sites.
11. Your content, aggregated data and our intellectual property
• You own the information you enter. You grant OwnerTrack a license to host, process, display and transmit it as needed to provide the Service to you and your borrowers, to keep backups, and to comply with law. We do not use your data to train AI models.
• Aggregated data. We may create and use aggregated, de-identified data derived from use of the Service (for example, the number of loans serviced or typical feature usage) to operate, secure, and improve the Service and to describe it publicly, provided the data does not identify you, any borrower, or any individual, and we do not attempt to re-identify it.
• OwnerTrack owns the Service, its software, design, documentation and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. All other rights are reserved.
• If you send us suggestions, we may use them without obligation to you.
12. Privacy
Our Privacy Policy and Cookie Notice explain what information we collect, how we use and share it, which service providers we rely on, and how long we keep it. They form part of these Terms.
13. Availability, support and changes to the Service
• We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. Maintenance, provider outages and events outside our control may cause downtime.
• Data is backed up [[CONFIRM: nightly]] and backups are kept for 30 days. Backups protect against loss on our side; they are not a substitute for your own exports.
• Support is provided by email and through the "Send to support" feature in the Service, during business hours, on a reasonable-efforts basis.
• We may improve, change or discontinue features. If we discontinue the Service entirely we will give at least 60 days' notice and keep export available during that period.
14. Suspension and termination
• You may close your account at any time. Export your data first; after closure we delete account data as described in the Privacy Policy and the DPA, except records we must keep.
• We may suspend or terminate access if you breach these Terms or the Acceptable Use Policy, if required by law, or if your use creates risk or legal exposure for us or other users. Where practical we will notify you and give you a chance to correct the problem, and we will keep export available for 30 days after termination unless the law prevents it.
• Non-payment does not result in termination or deletion; the affected loan becomes read-only as described in Section 7.
• Survival. Sections 4, 5, 6, 10, 11, 14 through 18, and 21 through 23, and any fees owed before termination, survive closure or termination of your account.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, OWNERTRACK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT CALCULATIONS, DOCUMENTS, TAX FORMS OR ASSISTANT ANSWERS WILL BE ACCURATE, COMPLETE OR COMPLIANT WITH ANY LAW. WE ARE NOT RESPONSIBLE FOR THIRD-PARTY SERVICES. YOU USE THE SERVICE, AND RELY ON ITS OUTPUT, AT YOUR OWN RISK.
16. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, OWNERTRACK AND ITS OWNERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE OR THESE TERMS, HOWEVER CAUSED. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the extent the law permits.
17. Indemnification
You will defend and indemnify OwnerTrack and its owners and employees against claims, losses and expenses (including reasonable attorneys' fees) arising from the loans you service, the information you enter, the messages and notices you send through the Service, your use of the Service in breach of these Terms or the law, or a dispute between you and a borrower, payment provider or other third party.
18. Electronic communications and records
You consent to receive agreements, notices, disclosures and other communications from us electronically, by email to the address on your account or by posting them in the Service. Electronic communications satisfy any legal requirement that a communication be in writing, and your electronic acceptance of these Terms has the same effect as a signature. You can download or print these Terms and other notices from our website at any time. Keep your email address current; a notice sent to the address on your account is effective when sent.
19. Email and text messages
The Service sends transactional email and, where a lender enables it, SMS messages such as payment reminders, statements, late notices and portal access links. By providing a phone number and enabling SMS, you and your borrowers consent to receive these messages. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of SMS and HELP for help. Lenders are responsible for having each borrower's consent before enabling SMS for that borrower. Mobile phone numbers and SMS consent are not shared with third parties for their marketing purposes. Marketing messages are sent only with consent and can be unsubscribed at any time. Opting out of transactional messages may limit features that depend on them.
20. Changes to these Terms
We may update these Terms. For material changes we will give at least 30 days' notice by email or in the Service before they take effect. Continued use after the effective date means you accept the updated Terms; if you do not, close your account before that date.
21. Governing law and disputes
• Governing law. These Terms are governed by the laws of the State of Missouri, without regard to its conflict-of-laws rules.
• Informal resolution first. Before filing a claim, each side agrees to contact the other in writing and try in good faith to resolve the matter for at least 30 days.
• Venue. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Missouri, and you consent to their jurisdiction. Either side may instead bring an individual claim in small-claims court if it qualifies.
• Jury trial waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND OWNERTRACK EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY DISPUTE ARISING FROM OR RELATING TO THE SERVICE OR THESE TERMS.
• Class action waiver. TO THE FULLEST EXTENT PERMITTED BY LAW, CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
• Time limit. To the extent the law allows, any claim must be brought within one year after it arises.
22. General
• Entire agreement. These Terms, the Privacy Policy, the Acceptable Use Policy, the Cookie Notice and, for lenders, the DPA are the entire agreement between you and OwnerTrack about the Service.
• Severability and waiver. If any part is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver.
• Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
• Force majeure. Neither side is responsible for a delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, such as natural disasters, power or internet failures, outages of hosting or other third-party providers, cyberattacks that occur despite reasonable safeguards, labor disputes, or government action.
• Export. You may not use or export the Service in violation of U.S. export-control or sanctions laws.
• Relationship. The parties are independent contractors. These Terms do not create a partnership, agency or fiduciary relationship, and OwnerTrack does not act as your agent in dealing with borrowers.
• Notices. Notices to you may be sent to the email address on your account. Notices to us must be sent to the email address below.
23. Notice to California users
Under California Civil Code Section 1789.3, California users are entitled to the following notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
